Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vanta Panel website at vantapanel.com, the client/billing area, and the Vanta Panel control-panel software (collectively, the "Service"), provided by [Legal Entity Name] ("we", "us", "our"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of these terms

By creating an account, purchasing a subscription, installing the software, or otherwise using the Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The service

Vanta Panel is self-hosted software that you install and run on your own server (a "VPS" or other machine you control). We provide: (a) the software and updates; (b) a hosted client area for managing your subscription and license keys; and (c) a license-validation service that the software contacts to confirm your plan and limits.

Because the software runs on infrastructure that you control, you are solely responsible for that infrastructure, its security, its availability, and all content and accounts you host on it. We do not host your websites, email, databases, or end-user data.

3. Accounts and registration

To purchase a subscription you must create an account with accurate information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at support@vantapanel.com if you suspect unauthorized use. We may suspend or terminate accounts that contain false information or are used in violation of these Terms.

4. Subscriptions, billing and renewal

  • Plans and pricing. Paid plans are billed on a recurring basis (monthly unless stated otherwise) at the price shown at checkout. Prices are in US dollars unless indicated and may exclude taxes, which are added where required.
  • Payment processing. Payments are processed by Stripe. We do not store your full card details. Your use of payment features is also subject to Stripe's terms.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing period using your payment method on file, until cancelled.
  • Cancellation. You may cancel at any time from your client area. Cancellation stops future renewals; your plan remains active until the end of the current paid period. See our Refund & Cancellation Policy.
  • Failed payments. If a renewal payment fails, your license may be suspended (your plan limits revert to the free tier) until payment is resolved.
  • Price changes. We may change prices on a prospective basis; we will give reasonable notice and changes take effect at your next renewal.

5. License terms

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Vanta Panel software for the duration of your subscription. Each subscription entitles you to use the license key it issues in accordance with that plan's limits.

  • The free tier remains available without payment, subject to its limits.
  • If a paid subscription lapses, is cancelled, or is revoked, the software will continue to operate but its limits revert to those of the free tier.
  • You must not share, resell, sublicense, or publish your license key; circumvent or tamper with license validation; or remove proprietary notices.
  • You must not redistribute, repackage, or offer the software itself as a competing product.

6. Acceptable use

You agree not to use the Service (including the website and license service) to: violate any law; infringe others' rights; transmit malware; attempt to gain unauthorized access to our systems; interfere with or overload the Service; or use it to host or distribute unlawful content. Because the control-panel software runs on your own server, you are responsible for the lawful operation of everything you host, and for compliance by any end users you provide accounts to.

7. Intellectual property

The Vanta Panel software, website, branding, and all related materials are owned by [Legal Entity Name] or its licensors and are protected by intellectual-property laws. These Terms grant you a license to use the software; they do not transfer ownership. All third-party product names and trademarks referenced anywhere are the property of their respective owners; Vanta Panel is an independent product and is not affiliated with, endorsed by, or sponsored by any of them.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. You are responsible for maintaining backups of your own data.

9. Limitation of liability

To the maximum extent permitted by law, [Legal Entity Name] and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless [Legal Entity Name] from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, the content or accounts you host, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. On termination, your right to use the paid features and license ends; sections that by their nature should survive (including IP, disclaimers, liability, and indemnification) will survive.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of [Governing-law Jurisdiction], without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in [Governing-law Jurisdiction] for any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law gives you the right to bring proceedings elsewhere.
